Understanding the Legal Requirement The Landlord and Tenant Act, 2022, which came into force on 17 June 2022, mandates that for any tenancy valued at twenty-five currency points or more, which is equivalent to UGX 500,000, the agreement must be in writing or in the form of a data message to be enforceable in court. While oral agreements remain possible for lower-value tenancies, they are notoriously difficult to prove in the event of a dispute. The Act requires that the landlord provides the tenant with a copy of the signed agreement immediately after execution. Mandatory Particulars of the Agreement According to Schedule 2 of the Landlord and Tenant Act, 2022, a valid tenancy agreement must contain specific details to be legally sound. This includes the full names and identification details of both parties, such as National ID or Alien Card numbers. It must also clearly describe the premises, including the location, plot number, and specific facilities like toilets and common areas. The agreement must specify the duration of the tenancy, the rent amount in Uganda Shillings, and the terms for the security deposit. Security Deposits and Rent Regulations One of the most critical aspects of the 2022 Act is the regulation of financial transactions. A landlord is prohibited from demanding a security deposit exceeding one month of rent. Furthermore, the agreement must explicitly state the conditions under which the deposit may be withheld. It is important to note that a landlord cannot withhold a deposit for normal wear and tear of the property. Additionally, rent increases are capped at 10 percent annually, and landlords must provide at least 60 days of written notice before implementing such an increase. Duties and Obligations Every tenancy agreement in Uganda carries implied terms that cannot be excluded by the parties. Landlords are legally responsible for the structural integrity and exterior repairs of the premises, as well as ensuring the property is fit for human habitation as per the Public Health Act and Building Control Act. Tenants, in turn, have a duty to maintain the cleanliness of the premises, avoid nuisance, and refrain from making unauthorized alterations. These obligations ensure that both parties maintain a standard of living and property care throughout the tenancy term. Termination and Eviction Procedures Termination notice periods are strictly defined by the Act to prevent arbitrary evictions. For residential tenancies, the notice period depends on the frequency of rent payment, such as 7 days for weekly tenancies and 30 days for monthly tenancies. Any clause in an agreement that attempts to reduce these statutory notice periods is void. In cases of eviction, the law requires strict adherence to due process, which may involve the presence of local authorities or police to ensure the process remains lawful and orderly. Stamp Duty and Registration As of the Stamp Duty (Amendment) Act 2025, which became effective on 1 July 2025, there is a nil duty on agreements or memoranda of agreement. This means that instruments executed on or after this date do not attract stamp duty. This change simplifies the administrative burden for landlords and tenants. While registration of the agreement is not mandatory for validity, keeping a signed copy is vital for any future legal proceedings or dispute resolution. Common Mistakes to Avoid Many disputes arise from failing to conduct a proper inventory or condition report before the tenant moves in. It is best practice to attach a signed schedule of the property condition to the agreement. Another common error is failing to issue official receipts for rent and security deposits. Under the Act, landlords must provide receipts for all payments received. Avoiding these pitfalls ensures that your tenancy remains professional and compliant with Ugandan law.
